1. General terms and Conditions
Our Clients or ourselves (henceforth the company) may terminate the contract forthwith by written notice where the other goes into liquidation or is declared bankrupt or otherwise is unable to pay its debts as they fall due.
Payment on first orders will invariably be based on either full payment on order or a minimum of 50% in advance and 50% on delivery basis. Subsequent orders subject to good trading relationships will typically allow for some flexibility in DVD or CD duplication, replication,. Authoring and design work. We reserve the right to refuse credit or to ensure full payment is made prior to delivering any goods or services if we feel fit.
The client agrees that the CD or DVD or any other tape format or media supplied is legal, non offensive and that have full permission and copyright authority to duplicate, dub, copy or replicate the media as supplied to us. In all cases they by entering into any agreement with 3rd Eye Broadcast (the company) waive all responsibility or any liability whatsoever to the company for any breach of copyright or infringement of any law by our undertaking any work on your request and at your behest. We reserve the right not take on any order at our discretion without any reason being forthcoming.
We will not be held responsible for any delay caused for any reasons outside of the Company’s or client’s control, nor for any equipment failure or any outside contractor or printing – any amendments after printing has begun we be 100% met at cost incurred by the client. We will endeavour to meet deadlines but take no responsibility whatsoever if this deadline is missed and if in any part this is due to Client or outside events we may charge for any subsequent loss of earnings on other projects qued up for completion.
2. Copyright, Intellectual Property rights, usage and legal content
Clients agree that any services rendered by the Company (3rd Eye broadcast Ltd) will not cause offence, break any laws, be indecent, incite religious or racial discrimination or violence, not be discriminatory, infringe any law or regulation, including, without limitation whatsoever any UK or any other countries law of copyright or similar law, or any rights, usage, contract (including, without limitation, any licensing agreement) to which that customer is a party or to which that customer is bound or to which the Materials are subject, and that the Material is not obscene, blasphemous or defamatory and won’t affect or effect our legal requirements, reputation or image.
The client waives all liability or responsibility of the company for any legal or rights issues when they ask the company to render its services and assumes full sole and unequivocal liability and responsibility for any work which may breach any law or rights In any shape, way or from however it may be.
3. Regulations pertaining to providing our services
The Client indemnify The Company against all damages, costs, any 3rd Party fees, any claims, any legal fees, insurance fees, demands, losses direct or indirect, and any expenses incurred by us as a result of breach by that customer of any provision of these terms and conditions, law or regulation.
The Company also states and inserts as standard term and condition that we have no liability for any third party legal action or threatened action in relation to the Material or through our involvement with that customer and indemnifies us against these.
Any termination of any contract with any customer shall not affect the provisions of this clause which shall be in place afterwards.
4. Regulations pertaining to Quality control and compatibility
For DVD s we cannot due to various machines and new formats coming in or due to worldwide standards guarantee with DVD video that the content will play in any or every player, or device as some DVD players will not accept certain types of encoding - we will not take responsibility if any DVD will not work in a particular specific DVD Player(s). It is the Client’s responsibility to ensure that the content will play where it needs to.
5. Quotations
Any quotations issued by 3rd eye Broadcast (The Company) are valid for between 14 - 28 days, They may be subject to change if the details change and we reserve the right to alter them if an error is made by ourselves or by the Client. We will not be held or bound to any email quote as this is potentially subject to security risk and error – only a printed Company order or contract will be binding (subject to all our other terms) in terms of the quote provided.
6. Terms and conditions summary
Clients agree to indemnify 3rd Eye Broadcast against all claims, copyright issues, disputes, any legal infringement, demands, losses, delays, adverse publicity, costs and expenses incurred by us as a result of breach by that customer of any provision of these terms and conditions, law or regulation and as a result of any third party legal action or threatened action in relation to the Material or through our involvement with that customer.
